Terms of Service

1. Provider

Tiros is offered by Tiros-IT GbR, partners: Tim Schwab and Robin Schwab, Stadlgasse 1, 92253 Schnaittenbach, Germany, email: schwab@tiros-it.de.

2. Business customers only

Tiros is offered only to businesses, entrepreneurs and professional sellers. It is not intended for consumers. By requesting access or using Tiros, the customer confirms that it acts for business purposes.

3. Service

Tiros helps prepare production-ready files from personalized Amazon Custom order report data. The exact workflow, supported Amazon report format and output files depend on the customer's product, layout and production process. Tiros may be provided as a hosted tool, a managed workflow, a customized automation or a combination of these options.

4. Free test phase

Customers may request a free 30-day test phase. There are no setup fees for the test. The test phase starts when Tiros provides access, confirms the test setup or otherwise makes the agreed test workflow available. The test is used to evaluate whether Tiros can support the specific workflow.

After the 30-day free test phase, continued access or continued use automatically becomes a paid B2B service unless the customer cancels before the end of the test phase. Cancellation during the test phase can be sent by email to schwab@tiros-it.de.

5. Pricing and payment

After the free test phase, the standard price is $9.90 per calendar month plus $0.15 per processed order line item. Billing periods run from the first to the last day of each calendar month. If paid use starts during an ongoing calendar month, the first billing period runs from the paid start date until the end of that calendar month. Prices are net of applicable taxes. Payment is made by invoice. Invoices are payable within 20 days from the invoice date unless otherwise agreed in writing.

A processed order line item is an order position for which Tiros reads personalization data, maps it to a layout, prepares a production file or otherwise performs the agreed automation step. Test runs, corrections and duplicate processing can be handled separately if agreed in writing.

6. Customer responsibilities

The customer is responsible for providing lawful input data, checking output files before production, maintaining backups of original data and ensuring that uploaded files do not infringe third-party rights. The customer remains responsible for its Amazon seller account, products, customer communication, production decisions and compliance with Amazon's applicable rules.

The customer must not upload unlawful content, malware, payment card data or special categories of personal data unless this has been expressly agreed in writing.

7. Data processing

If Tiros processes personal data on behalf of the customer, the Data Processing Agreement / AVV applies in addition to these Terms. Amazon order report uploads and working data are generally deleted after 1 week unless otherwise agreed or legally required.

8. Availability and changes

Tiros is provided with commercially reasonable care. We may update or improve the service, layouts and workflows. Temporary interruptions can occur, for example for maintenance, hosting issues or technical changes.

9. No guarantee for production results

Tiros is designed to reduce manual work, but it does not replace final production checks. The customer must verify generated files before printing, engraving, laser processing or other production steps.

10. Intellectual property and customer files

The customer keeps all rights to its source files, product data, layouts, trademarks and uploaded customer content. The customer grants Tiros the rights needed to process those files for providing, testing, troubleshooting and improving the agreed customer workflow. Tiros retains rights in its software, automation logic, templates, know-how and technical implementation.

11. Confidentiality

Both parties will treat non-public business information received in connection with the service as confidential and will use it only for the purposes of the business relationship, unless disclosure is required by law or the information is already public without breach of confidentiality.

12. Liability

We are liable without limitation for intent, gross negligence and injury to life, body or health. For simple negligence, liability is limited to foreseeable, contract-typical damages arising from breach of essential contractual obligations. Further liability is excluded to the extent permitted by law.

13. Termination

The customer may cancel during the free test phase before it converts into a paid service. Paid B2B arrangements can be terminated to the end of a calendar month unless another term has been agreed. The right to terminate for good cause remains unaffected.

Termination does not affect payment obligations for services already provided or order line items already processed.

14. Governing law

These Terms are governed by the laws of Germany, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods, to the extent legally permitted.
